Terms of Service

These Terms of Service govern your access to and use of the services provided by Toolqit, Inc. (“Toolqit”). By creating an account, signing an order form, or otherwise using the Service, you agree to these Terms.

1. The Service

Toolqit is an AI-native operations and service-desk platform for managed service providers and similar organizations. We may update the Service from time to time, provided we do not materially reduce its functionality during a paid term.

2. Your Account

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Please notify us promptly of any unauthorized access.

3. Acceptable Use

You agree not to:

  • use the Service to violate any law or third-party right;
  • reverse engineer, scrape, or interfere with the Service;
  • distribute malware, phishing, or unsolicited messages through the Service; or
  • use the Service to build a competing product.

4. Customer Data

You retain all rights to the data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you. We do not sell Customer Data, and we do not use it to train third-party AI models.

5. Security

We maintain a written security program aligned with the HIPAA Security and Privacy Rules and SOC 2 (Security, Availability, Confidentiality). Our commitments include:

  • encryption of data at rest (AES-256) and in transit (TLS 1.2+), with encrypted, immutable backups;
  • role-based access with SSO, MFA, and quarterly access reviews on a least-privilege basis;
  • HIPAA and security training for personnel on hire and annually;
  • code review, dependency and static analysis, vulnerability scanning, and an annual external penetration test;
  • centralized logging and monitoring, with logs retained for at least thirteen months; and
  • a documented incident and breach response program, with prompt notice of confirmed customer-impacting events.

Where Toolqit handles Protected Health Information on your behalf, we act as a Business Associate under a separately executed Business Associate Agreement. Our current subprocessor list and system status are published on our Trust Center.

6. Privacy

Our handling of personal information is described in the Privacy Policy, which forms part of these Terms.

7. Text Messaging (SMS)

Toolqit offers optional text messaging, including one-time passcodes for two-factor authentication and account or support notifications. By providing your mobile number and enabling SMS features in your account settings, you consent to receive these messages. Message frequency varies based on your account activity. Message and data rates may apply. Reply HELP for help or contact founders@toolqit.ai. Reply STOP to cancel at any time; you may also disable SMS two-factor authentication in your account settings. Carriers are not liable for delayed or undelivered messages.

8. Fees

Fees, billing cadence, and the subscription term are set in your order form. Fees are non-refundable except where required by law.

9. Term and Termination

These Terms remain in effect for as long as you use the Service. Either party may terminate for the other party’s uncured material breach upon thirty days’ written notice. Following termination, we will make Customer Data available for export for thirty days before deletion. Provisions that by their nature should survive will survive termination.

10. Warranties and Disclaimers

We warrant that the Service will perform materially as described in our documentation. Except for that warranty, the Service is provided “as is,” and we disclaim all other warranties to the maximum extent permitted by law.

11. Limitation of Liability

Neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Each party’s aggregate liability under these Terms will not exceed the fees paid or payable to Toolqit in the twelve months preceding the event giving rise to the claim.

12. Governing Law

These Terms are governed by the laws of the State of California. The parties consent to exclusive jurisdiction in the state and federal courts located in San Francisco County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will provide reasonable advance notice of material changes. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
